Since all newer servers are able to run 64bit operating system I'd go for Windows 2003 64bit instead. I'd also highly suggest upgrading SQL Server to 2005. Also be aware of the fact that 6.40 is out of general maintenance, you'd need to buy extended maintenance to get support.

Note 690432 - Windows 2003 Support
From a SAP perspective upgrades from 2000 to 2003 are supported. However, the driver model changed between those two version so you'll have to make sure, your harddisk and network card drivers etc. are present and are loaded during the upgrade. This can be tricky. And a migration to 64bit is not possible then.
The best solution would be taking a backup and do a homogeneous system copy (backup/restore).
