I want to integrate .net with SAP. What criteria i want to follow for this.. please help me.

You can integrate .Net with SAP using SAP.Net connector or you can use consume sap web service (vice versa is also possible).

if you ask for criteria I have to mention the the .NET connector will be de-supported in the future. If the decision has to be based on strategy I would therefore chose Web services for your integration scenario.
You wil find numerous articles in the .NET interop area.

Let me count the ways.
It would seem that Andre is too modest. True there are many articles in the .NET interop area, I have read many of them.
But if you want the "skinny" on how to do this in a variety of ways all in one handy little package then there is a nice book you can buy "Sap Netweaver / MS .Net interoperability" that Andre helped write.
I found browsing sap websites a little painful and it takes quite some time to figure out not just how to do it but some of the problems you may have (mainly with security) so this book is a really good intro.
No I don't get kickbacks.
