What is the approach to be followed while upgrading SAP GUI from 7.3 to 7.4 ?
What are prerequisites and key considerations (what needs to be tested I mean) ?

There are no particular prerequisites for the same.
If you are using 7.3 now and its working fine then you can go ahead with 7.4 upgrade.
I did 7.3 to 7.4 and its working fine for me.
